Please read these terms carefully before using our platform

1. THE PLATFORM RELATIONSHIP

1.1 Nature of Service: CastersApp is a digital marketplace that facilitates collaborations between Brands ("The Customers") and Creators ("The Creators"). CastersApp provides the infrastructure for campaign management, content review, and payment security.

1.2 Independent Contractor Status: The Creator is an independent contractor. Nothing in these Terms creates an employment, agency, or partnership relationship. The Creator is solely responsible for all tax obligations (including VAT and self-employment taxes per Finnish Tax Administration/Vero.fi), insurance, and equipment.

1.3 Non-Circumvention: To protect the integrity of the CastersApp ecosystem, the Creator is strictly prohibited from entering into any direct or indirect business relationship with any Brand met through the Service for twelve (12) months following the initial contact. Any attempt to "bypass" the platform fees results in immediate account termination and forfeiture of all pending balances.

2. CAMPAIGN WORKFLOW & PERFORMANCE STANDARDS

2.1 Acceptance of Briefs: A "Campaign Brief" constitutes a legally binding work order. By accepting, the Creator agrees to all technical, creative, and chronological requirements.

2.2 Mandatory Review & Dual-Approval Gate:

  • Secure Submission: All drafts must be submitted through the CastersApp Dashboard or a CastersApp-approved secure file link.
  • Strict Posting Prohibition: The Creator is strictly prohibited from publishing any Campaign Post to any social media platform until the status is marked as "Approved" by both the Brand and the CastersApp team.
  • Revision Rights: The Creator must perform all necessary revisions until the campaign is delivered correctly to the satisfaction of the Brand and CastersApp. This is not limited to a specific number of rounds.

2.3 Exclusivity & Blackout Periods:

  • Ad Blackout: The Creator shall not publish any other advertisements or commercial collaborations for 12 hours before and 12 hours after the publication of the Campaign Post.
  • Competitor Non-Compete: The Creator must maintain a one-week interval before and after the publication before engaging with any direct competitors of the Brand.

2.4 Maintenance & Engagement:

  • Persistence: Posts must remain live and public for six (6) months.
  • Engagement: The Creator must engage with audience inquiries for the entire duration of the active campaign (until the campaign is marked as "Closed").

3. CONTENT REQUIREMENTS & LEGAL COMPLIANCE

All content must fulfill the following:

3.1 Originality & IP: Content must be an original product of the Creator and must not infringe upon any third party's intellectual property or privacy rights.

3.2 Advertising Disclosures (Finland/EU 2026):

  • The post must be effortlessly identifiable as an advertisement at a glance (per FCCA /Kilpailu- ja kuluttajavirasto and ICC/International Chamber of Commerce guidelines).
  • Disclosure (e.g., "Mainos" or "Kaupallinen yhteistyö") must be placed at the very beginning of the caption and visible without clicking "read more."

3.3 Tax Responsibility: The Creator acknowledges that any products, services, or "perks" received from a Brand are considered taxable income at their fair market value. The Creator is solely responsible for reporting these to the Finnish Tax Administration.

3.4 Ownership of Goods: Unless the Brief states otherwise, any products sent to the Creator for a campaign are considered "Loaned" for the purpose of content creation and must be returned if requested, or may be kept by the Creator only after the campaign is marked "Closed" and all deliverables are approved.

3.5 Guest & Model Releases: The Creator is strictly responsible for obtaining all necessary legal consents and written releases from any third party (including "guests," "models," or "extras") who appears, is heard, or is otherwise depicted in the Content. The Creator warrants that all depicted individuals have given their explicit, written permission for their name, likeness, and voice to be used for the commercial and promotional purposes described in these Terms.

3.6 AI & Synthetic Media: Per the EU AI Act 2026, the Creator must disclose any use of AI-generated likenesses or voices. AI-generated content must be clearly labeled as such in the final post.

4. INTELLECTUAL PROPERTY & USAGE RIGHTS

4.1 Brand License: By publishing a Campaign Post, the Creator grants the Brand a non-exclusive, worldwide, royalty-free license to repost, share, and embed the Content on the Brand's official, owned organic social media channels (e.g., Instagram Stories, Reposts, LinkedIn feed, Brand Website) for the duration of the Campaign and a period of six (6) months thereafter.

4.1.2 Full Commercial & Paid Media License: The license granted in 4.1.1 does not include the right for the Brand to use the Content as a "Paid Advertisement" (e.g., Meta Ads, Spark Ads, Whitelisting) or on offline media (e.g., TV, Print, OOH). Any such extended usage requires a separate "Content License Fee" to be negotiated and paid to the Creator through the CastersApp platform. The Brand must obtain explicit written approval via CastersApp before using any Content for paid promotional purposes.

4.2 CastersApp Global License: The Creator grants CastersApp a perpetual, irrevocable, royalty-free license to use the content and the Creator's likeness for platform marketing and business demonstrations indefinitely and without additional payment.

5. REMUNERATION & PLATFORM AUTHORITY

5.1 Payment Escrow: All funds are held by CastersApp. Payouts are triggered only after verification of the post and a 14-day compliance window.

5.2 Right to Withhold: CastersApp reserves the sole and absolute right to terminate campaigns and withhold or cancel payments for breach of terms, failure to revise, or damage to reputation.

6. CONFIDENTIALITY, DATA INTEGRITY & LIABILITY

6.1 Strict Confidentiality & Non-Disclosure

6.1.1 Scope of Confidential Information: The Creator acknowledges that during the course of using the Service, they will have access to non-public, proprietary information including, but not limited to: Brand marketing strategies, unreleased product details, campaign launch dates, specific pricing/remuneration structures, and CastersApp's internal platform workflows (collectively, "Confidential Information").

6.1.2 Non-Disclosure Obligation: The Creator shall not disclose, leak, or share any Confidential Information with any third party, including on personal social media "stories," private groups, or to competing brands, without prior written consent from CastersApp Team.

6.1.3 Survival of Obligation: This duty of confidentiality remains in effect during the term of the collaboration and shall survive for a period of two (2) years following the termination of the Creator's account.

6.1.4 Public Statements: The Creator shall not make any disparaging or negative public statements (including "de-influencing" or "review-bombing") regarding the Brand or CastersApp during or after the campaign.

6.2 Comprehensive Limitation of Liability

6.2.1 Platform Status: CastersApp operates as a neutral marketplace. We are not responsible for the conduct, actions, or omissions of any Brand or third-party user.

6.2.2 Third-Party Outages & Changes: CastersApp shall not be held liable for any damages resulting from:

  • Outages: Downtime or technical failures of third-party social media platforms (e.g., Instagram, TikTok, YouTube).
  • Algorithm/API Changes: Changes to platform algorithms that result in low reach, low engagement, or the removal of content.
  • Account Actions: Suspension, "shadowbanning," or deletion of the Creator's social media accounts by the platform providers.

6.2.3 Content Liability: The Creator assumes 100% liability for the content they produce. CastersApp is not liable for any legal action taken against the Creator for defamation, copyright infringement, or failure to disclose advertisements.

6.2.4 Financial Cap: To the maximum extent permitted by Finnish law, the total cumulative liability of CastersApp for any claim arising out of these Terms—whether in contract or tort—is strictly limited to the Platform Fee actually received by CastersApp for the specific campaign that gave rise to the dispute.

6.3 Indemnification: The Creator agrees to indemnify, defend, and hold harmless CastersApp and its officers from any and all third-party claims, damages, or costs (including reasonable legal fees) arising from the Creator's breach of these Terms, violation of any law, or infringement of any third-party intellectual property rights.

7. TERM AND TERMINATION

7.1 Entry into Force and Duration: These Terms enter into force when the Creator creates an account and approves the Terms on the Service. They remain in force for as long as the Creator maintains an active account on the Platform. The Creator may deactivate their account at any time through the Service dashboard.

7.2 Suspension and Deactivation: CastersApp may at any time, at its sole discretion, suspend or deactivate the Creator's account if the Creator has breached these Terms, any specific Campaign Brief, or any other terms of use pertaining to the Service. These Terms terminate automatically upon deactivation of the account by either the Creator or CastersApp.

7.3 Termination for Breach or Non-Performance: CastersApp may terminate these Terms with immediate effect and without notice if:

  • The Creator breaches any provision of these Terms.
  • The Creator fails to complete their obligations under a Campaign (including submission of drafts or final posts) within thirty (30) days of the agreed deadline.

7.4 Termination on Serious Ethical Grounds: CastersApp reserves the right to terminate these Terms immediately and without notice if the Creator acts in a way that is harmful to CastersApp's image, reputation, or business interests. This includes, but is not limited to:

  • Violating human dignity or acting immorally.
  • Conducting unfair or deceptive commercial practices.
  • Engaging in unethical behavior or public conduct that brings the Platform or its Customers into disrepute.

7.5 Creator's Right to Terminate Campaign Participation: The Creator has the right to terminate their participation in a specific Campaign, with immediate effect and without notice, if the Customer (Brand) breaches the Customer Terms. Furthermore, the Creator may terminate participation on serious grounds if the Customer acts in a way that is harmful to the Creator's image, reputation, or business interests (e.g., violating human dignity or acting unethically). In such instances, the Creator must inform CastersApp immediately to allow for mediation or escrow adjustment.

7.6 Liability and Survival of Rights: The termination of these Terms will not release either Party from any liability arising prior to the termination. Upon termination:

  • All rights and licenses granted to the Creator by CastersApp terminate immediately.
  • Survival of Licenses: The termination or expiry of these Terms does not affect the rights or licenses granted by the Creator to Content already uploaded to the Service. The Content License and usage rights granted to CastersApp and the Customer for previously approved content remain in full force and effect to ensure campaign continuity and platform archiving.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 Governing Law: These Terms are governed by the laws of Finland.

8.2 Dispute Resolution: Any dispute shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce in Helsinki. The language of arbitration is English.
